1. Acceptance of Terms

By using the Arusto platform, you agree to these Terms. For enterprise/government clients with annual contracts >$100K or special requirements, an MSA supersedes these Terms.


2. Definitions

  • "Service": Arusto AI platform and all associated tools
  • "Customer Data": Content uploaded or processed through the Service
  • "AI-Generated Content": Outputs created by the Service using Customer Data
  • "Confidential Information": Nonpublic information disclosed by either party

3. Account Registration

Must be 18+. Responsible for credential security. Arusto may suspend accounts for violations.


4. Service Description

AI-powered platform transforming raw content into structured learning materials: courses, videos, assessments, SCORM modules, learning outcome mapping, interactive content.

Beta features provided AS-IS. 30 days' notice for material service changes.


5. AI-Generated Content & Intellectual Property

Customer retains full ownership of all AI-Generated Content.

Customer Data NOT used for model training without explicit written consent.

Arusto retains IP in: Service software, templates, AI models, documentation.

AI Accuracy Disclaimer: Customer responsible for reviewing all AI outputs before deployment.


6. Customer Data & Privacy

  • Location: US data centers only
  • Encryption: TLS 1.2+ in transit, AES-256 at rest
  • Access: Logged and audited, least-privilege
  • Portability: Export in CSV, JSON, MP4, PDF, SCORM within 30 days
  • No license to Arusto beyond providing the Service

7. Confidentiality

Mutual NDA-level protection. Survives 3 years post-termination.

If Arusto receives government subpoena: prompt notice to Customer, cooperate to challenge/narrow, disclose minimum required.


8. Acceptable Use

Prohibited: Illegal activity, harmful content, misrepresentation of AI content, academic dishonesty, IP infringement, service abuse, building competing services.

Customer responsible for reviewing AI outputs before use.


9. Subscription & Billing

Plans: Starter / Professional / Enterprise. 14-day free trial available.

Automatic renewal. Payments via Stripe. Customer responsible for applicable taxes.


10. Fees & Fee Changes

30 days' written notice for fee increases. Customer may cancel within notice period.

Refunds: Pro-rata for annual plans within first 30 days. Enterprise per MSA.


11. Uptime & Service Levels

99.9% uptime commitment (monthly).

48 hours' notice for planned maintenance.

12. Limitations of Liability

Liability Cap: Greater of:

  • Annual contracts: 12 months of fees
  • Monthly plans: 3 months of fees
  • Minimum: $1,000 USD

Carve-outs for: indemnification, IP infringement, gross negligence, confidentiality breach, law violations.

Excluded: Lost profits, indirect/consequential damages, third-party claims from Customer Data.


13. Indemnification

Customer indemnifies Arusto for: Customer Data IP claims, Terms violations, AI content misuse.

Arusto indemnifies Customer for: claims that unmodified Service infringes US patents, copyrights, or trade secrets.


14. Termination

By Customer: Any time via account settings or email.

By Arusto: For cause (15-day cure period) or convenience (30 days' notice + pro-rata refund).

Surviving provisions: IP, Confidentiality, Liability, Indemnification, Governing Law.


15. Data Handling on Termination

  • 30-day export window (CSV, JSON, MP4, PDF, SCORM)
  • 90-day deletion after export window
  • Backups deleted within 180 days
  • Anonymized analytics may be retained

16. FERPA Compliance (Education Clients)

Arusto acts as School Official under FERPA with legitimate educational interest.

Will not: use education records beyond Service, disclose without consent, use student data for AI training.

Customer responsible for obtaining required parental/student consent.


17. Government Clients & Compliance

FAR/DFARS: Customer retains data ownership. NIST SP 800-171 for CUI. Flow-down to subcontractors.

Data Classification: CUI default. No classified information without prior written approval.

Incident Reporting: Per DFARS 252.204-7012 to affected agency and CISA.

18. Third-Party Integrations

Customer's use of third-party services subject to those services' terms. API access per documentation. Arusto not liable for third-party issues.


19. Disclaimer of Warranties

SERVICE PROVIDED "AS-IS" AND "AS-AVAILABLE." No warranties of merchantability, fitness, accuracy, or non-infringement.

AI outputs not guaranteed to be accurate, complete, or suitable.


20. Modifications

30 days' notice for material changes. Customer may terminate within notice period. Emergency changes may be immediate.


21. Governing Law & Disputes

Delaware law. Exclusive jurisdiction: New Castle County, DE.

Informal resolution first (30 days). Binding arbitration for claims <$50K (JAMS).

Jury trial waived.


22. General Provisions

Order of precedence: MSA > DPA > Government Addendum > These Terms.

Severability. No assignment without consent. Independent contractors. 3-year confidentiality survival.
